Terms of Service

Welcome to FinSage ("Platform," "we," "our," or "us"). These Terms of Service ("Terms") govern your access to and use of our cloud accounting platform and related services. By accessing or using FinSage, you agree to be bound by these Terms.

1. Acceptance of Terms

By creating an account or using FinSage, you confirm that you are at least 18 years old, have the legal capacity to enter into these Terms, and agree to be bound by them. If you are using FinSage on behalf of a business entity, you represent that you have authority to bind that entity.

2. Account Registration

To access certain features, you must create an account. You agree to:

• Provide accurate, current, and complete registration information
• Maintain and update your information to keep it accurate
• Keep your password secure and not share account credentials
• Accept responsibility for all activities under your account
• Notify us immediately of any unauthorized use of your account

3. Subscription Plans & Payment

FinSage offers subscription-based services with various plans:

• Free Trial: New users receive a 3-month free trial with full feature access
• Paid Subscriptions: Auto-renew monthly or annually unless cancelled
• Pricing Changes: We may change prices with 30 days' notice before renewal
• Refunds: Pro-rated refunds available within 14 days of charge for annual plans

4. Acceptable Use Policy

You agree NOT to use FinSage to:

• Create fraudulent financial records or misrepresent financial data
• Violate applicable accounting standards, tax laws, or regulations
• Reverse engineer, decompile, or attempt to extract source code
• Transmit malware, viruses, or harmful code
• Interfere with or disrupt platform functionality
• Use automated scripts without prior authorization
• Resell or redistribute access without written permission
• Exceed reasonable usage limits or resource constraints

5. Data & Content Ownership

• Your Data: You retain full ownership of all financial data entered into FinSage
• Data Export: You may export your data at any time in standard formats (CSV, PDF, Excel)
• License to Us: You grant us permission to store, process, and back up your data to provide services
• Deletion: Upon account termination, we delete data per our Privacy Policy retention schedule

6. Intellectual Property

All rights in FinSage's software, design, content, and trademarks remain our exclusive property. You may not copy, modify, distribute, or create derivative works from our platform without explicit written consent.

7. IFRS Compliance Disclaimer

While FinSage implements IFRS-compliant calculations and reporting features:

• We do not provide accounting, tax, or legal advice
• You remain responsible for ensuring compliance with applicable standards
• We recommend consulting qualified professionals for complex matters
• Software outputs should be reviewed by authorized personnel before submission

8. Service Availability & Uptime

• We strive for 99.9% uptime during maintenance windows
• Scheduled maintenance is announced at least 24 hours in advance
• We are not liable for downtime caused by force majeure events
• No SLA penalties apply to free trial accounts

9. Limitation of Liability

To the maximum extent permitted by law:

• FinSage liability shall not exceed fees paid in the last 3 months
• We are not liable for indirect, incidental, or consequential damages
• We are not responsible for third-party integrations or data accuracy
• Some jurisdictions may not allow these limitations

10. Termination

You may terminate your account at any time. We may suspend or terminate accounts that violate these Terms. Upon termination:

• Your right to use the service ceases immediately
• Data export window of 30 days is provided
• Outstanding fees become immediately due
• Certain provisions survive termination indefinitely

11. Changes to Terms

We may modify these Terms at any time. Material changes will be communicated via email at least 30 days before taking effect. Continued use after changes constitutes acceptance.

12. Governing Law & Dispute Resolution

These Terms are governed by the laws of South Africa. Any disputes shall first attempt good-faith negotiation, then binding arbitration if unresolved within 60 days.
